01About these Terms
These Terms apply when you use studio-ampersand.in and when you engage Obliqua Digital Solutions Private Limited, Unit 706, 7th Floor, Om Tower, 32 Chowringhee Road, Park Street, Kolkata, West Bengal 700071, India ("Studio Ampersand Dot", "we", "us") for design work. "You" means the person or business engaging us.
For each project we send a written scope, quote or proposal (the "Scope"). Your written approval of a Scope, or a first payment, means you accept it and these Terms. If anything in a Scope conflicts with these Terms, the Scope applies.
02Using this website
Everything on this website, including its design, code, text and graphics, belongs to us. You may browse, share links and play with the glyph lab, but please do not copy, resell or scrape the site to build something that competes with it.
The website is provided as it is. We work to keep it accurate and available but cannot promise it always will be.
03Briefs, scope and timelines
We take one brief at a time. Each Scope sets out the deliverables, the timeline and the price.
"From 24 hours" describes our fastest turnaround for suitable work, measured from an approved brief. It is not a guarantee for every project; your actual timeline is the one in your Scope.
Timelines depend on you sending materials, answers and approvals on time. If they arrive late, delivery dates move by the same amount or more.
Your dedicated account manager is your main point of contact and will keep the project in one thread from brief to handover.
04Revisions and changes
Each deliverable includes two rounds of revisions. A round is one consolidated set of feedback.
Extra rounds, or changes to the brief itself (new deliverables, a different direction, more volume), are quoted and agreed in writing before we do the work. There are no surprise hourly charges.
05Fees and payment
Fees, currency, payment schedule and any advance payment are set out in your Scope. Unless it says otherwise, invoices are due within 7 days.
Fees do not include taxes or bank, card and transfer charges, which are payable by you where they apply.
We may pause work, or hold back final files, while invoices are overdue.
For monthly or quarterly subscriptions, billing runs per period as stated in your Scope. Either of us can stop a subscription by written notice before the next period begins; the current period is still payable and its work will be completed.
06Your materials
You confirm that you own, or have permission to use, everything you send us, such as logos, images, copy and data, and that we may use it to do the work.
You are responsible for checking final work before use, including legal, trademark and regulatory checks in your markets.
07Ownership of the work
Once you have paid all fees for a project, we assign to you the intellectual property rights in the final deliverables we create for you, and you receive the editable source files listed in the Scope.
Until then, we grant you a licence to review the work only.
We keep ownership of our pre-existing tools, templates, know-how, and concepts or routes you did not choose.
Third-party items such as fonts, stock images, music or software are licensed under their own terms. We will tell you about any licence you need to buy or renew.
We may show the work in our portfolio and on social media after launch, unless you ask us not to in writing.
08Confidentiality
We keep your non-public information confidential and use it only to do your work. You do the same for ours, including our pricing. This continues after the project ends. We are happy to sign your NDA if you prefer.
09Liability
We deliver the work with reasonable skill and care. Beyond that, and to the extent the law allows, we make no other promises.
Neither of us is liable for indirect or consequential losses, such as lost profits, revenue or data.
Our total liability for a project is limited to the fees you paid for it. Nothing in these Terms limits liability that cannot be limited by law.
10Ending a project
Either of us may end a project by written notice if the other seriously breaches these Terms and does not fix it within 14 days.
If a project ends early, you pay for the work done and any agreed costs up to that point, and receive the files for work paid for.
Neither of us is responsible for delays caused by events beyond reasonable control.
11Law and disputes
These Terms are governed by the laws of India. If a dispute arises, we will first try to settle it in good faith. If that fails within 30 days, it will be resolved by arbitration before a sole arbitrator under the Arbitration and Conciliation Act, 1996, held in English, with its seat in Kolkata, India; hearings may be held online.
If you are a consumer, you also keep any rights the law of your country gives you.
12Changes and contact
We may update these Terms; the version in force when you approve a Scope applies to that project. Questions: hello@studio-ampersand.in.
